Memorandum of Understanding (the "MOU")

Thank you for participating in The Fibroid Awareness Brunch

This Memorandum of Understanding (the "MOU") is made and entered into as of [Date], by and between The Fibroid Pandemic, herein referred to as "the Organizer," and [Speaker's Name],                    herein referred to as "the Speaker/Honored Guest."

  1. Purpose: The purpose of this MOU is to document the agreement between the Organizer and the Speaker/Honored Guest in collaboration on activities related to The Fibroid Awareness Brunch event scheduled to take place on July 21st, 2024 12 - 5pm EST.

  2. Independent Contractor Status: The Speaker/Honored Guest acknowledges that they are acting as an independent contractor, as defined by the Internal Revenue Service. While performing services under this MOU, the Speaker/Honored Guest will not be regarded as an employee of The Fibroid Pandemic for purposes of insurance, worker’s compensation, or any other purpose.

  3. Non-Paid Speaker/Honored Guest Event: The Speaker/Honored Guest acknowledges that their participation in The Fibroid Awareness Brunch event is voluntary and unpaid. Neither compensation nor royalties for said participation will be provided now or in the future by The Fibroid Pandemic, Run F.A.R. 5K, The Fibroid Awareness Brunch, PureBloom Essentials, or any affiliates.

  4. Social Media Promotion: As part of the agreement, the Speaker/Honored Guest agrees to promote The Fibroid Awareness Brunch event on their social media platforms. Speaker/Honored Guest commits to sharing the event at least four times between the date of this MOU and July 15th, 2024. Social media platforms for promotion may include but are not limited to Instagram, Facebook, TikTok, Twitter, and any other relevant social media outlets. Promotion may also include sharing the event as part of the Speaker's email campaign or newsletter. The Organizer will provide each Speaker/Honored Guest with promotional materials such as flyers and/or social media images for posting to the Speaker's social media platforms.

  5. Likeness and Voice Consent: The Speaker/Honored Guest consents to the recording of their likeness and voice in video, audio, audio-video, photographic, or any other copying or recording medium, still or moving. The Speaker/Honored Guest authorizes The Fibroid Pandemic to use their name in connection with the image and agrees that the image may be hosted by The Fibroid Pandemic on its website, social media, email campaign, etc.

  6. Confidentiality: Both parties agree to keep any confidential information disclosed during the course of this collaboration confidential and to not disclose such information to any third party without prior written consent from the disclosing party.

  7. Termination: Either party may terminate this MOU by providing written notice to the other party. Termination shall be effective upon receipt of the written notice.

  8. Governing Law: This MOU shall be governed by and construed in accordance with the laws of Georgia, USA. 

IN WITNESS WHEREOF, the parties have executed this MOU as of the date first above written.
